1- Acceptance of the Agreement

• 1.0 Before being able to access or transact on the site FinestWine.com Business-to-Business Platform the member is given the opportunity to accept the Terms and Conditions of the Agreement and fee. This Business-to-Business platform is designed to provide commercial relationship between Buyers, Salers and Agents of wines, champagnes, spirits and alcoholic beverages. The service is given to the Member and are accessible through the internet site http://www.finestwine.com/ and located in the section Business Center.
• 1.1 By joining the FinestWine Business Center, the Member accept the legal obligation in order to benefit from continuous access to the services offered on the site.

2- Condition

• 2.0 Each Member must complete the membership form his account can be activated.
• 2.1 The contract will be automatically renewed.
• 2.0 Each Member must specify and register the employees of his company allowed to get an identification password. Each member or designated employee shall choose his username and password and his responsible for keeping them confidential.

3- Responsabilities/Limitation of Liability

• 3.0 FinestWine Business Center manage and operate the site in a manner to ensures the security for the Members. All informations are confidential and all securities measures such as authentification, passwords and others are regularly upgraded.
• 3.1 FinestWine Business Center do not guarantee the conformity of all products presented on its website, do not guarantee prices, terms, conformity or legality of the products, the quality control or information displayed for sale on the website.
• 3.2 The Member agrees to hold it harmless against all claims damages or demands of any kind or nature arising from paragraph 3.1.
• 3.3 FinestWine does not endorse any controls on information contained in the sites links belonging to third parties and no warranty of the information contained in theses sites.
• 3.4 Each Member is fully responsible for all transactions made by his designated employees, agents and/or representatives whether such employees, agents or representatives are not designated for transactions made under his username and password.
• 3.5 The Member and is designated employees undertake full responsibility for any laws relating to the sale and distribution of alcoholic beverages, false information or otherwise misrepresent their information without limitation, not to display, transmit information or materials or any kind or nature which may be objectionable, racist, obscene, vulgar, unlawfull or displays any information or transmit or display any
  information or materials which interfere with the use of the site by the others members and could constitute a criminal offence or violate any statute, send any emails, chain letters with viruses or altered or corrupted files or software that could interfere with the use of the website.
• 3.6 The Member shall notify FinestWine of any unauthorized user of its account.
• 3.7 The Member agrees to send fast response to requests regarding orders to ensure the quality of the services.

4- Termination

• 4.0 The termination of this agreement can be made by email. After the termination of the agreement the Member and or his employees shall stop using FinestWine Business Center and then terminate all access to the site.

5- Governing Law

• 5.0 In the event of litigation, the Hong-Kong court, China, will be the only court authorized to arbitrate
