The contract deals with:

Since 1997, FinestWine.com sells products on line and takes care of the logistics from Bordeaux (payment, dispatching and tracking of the goods...).

FinestWine commercializes French and foreign wines as well as champagnes and spirits, for private customers or professionals, all around the world.

As wine producing sector faces economics difficulties, FinestWine proposes the setting up of a custom Web site including eventual modifications and registration on search engine for the price of:

For 12 months duration, it is renewed by tacit agreement.

Westhoven can create "button" and/or "banner" which will be presented on the FinestWine.com or FinestWine.fr home page or most visited pages of both Web sites.

Westhoven France engages to:

Set up the Web site of the company named above.
The general layout is part of FinestWine and cannot be modified.
Duration of the contract is 12 months from the date of activation of the Web site.
During the contract, Westhoven agrees to modify texts and pictures or information as often as necessary at no extra cost.
Westhoven France agrees to mail or fax (+335 566 80 977) to the signatory of the contract, a confirmation of the opening date of the Web site. This document will be used as an evidence of the date of effect of the contract.
The Web site contains 5 pages translated in English and French (the signatory of the contract agrees to give the texts in English and French), including:
- a home page
- a page presenting the history of the family and the chateau or the estate
- a page presenting the cellar and the technical aspect of the estate
- a page presenting the products (if the signatory is owner of several winery brands, only one will be accepted by contract). The sub-brands belonging to the same property will be regarded as integral part of the chateau
- a press release page
- a price list page, this page will open automatically when the visitor closes the browser window.
Inscription on the search engines (Yahoo, Google, Alta Vista.). The web site will thus benefit from the traffic generated by FinestWine.com and FinestWine.fr, and thus will profit from an improved visibility on the Internet.

By accepting the contract, the wine producer engages to:

Give the documents translated into English and French.
Give the pictures of the bottles, cellar, labels, vineyard, chateau and others.
Be the owner of all the texts and photographs given to the company Westhoven France recognizes and agrees to disseminate all information under its only responsibility. In no case the company Westhoven France could be held for person in charge if the photographs or texts would have been provided fraudulently or without the agreement of the agency which would have created the images or photographs.
Give its prices so that the prices and vintage indicated on the web site are updated regularly.

General Terms of Sales:

The signatory of the contract, states to have the full powers necessary to engage the company's responsability.
The signatory of the contract recognizes being the owner of the texts translated into English and French as well as the free of right pictures which appear on the Web site FinestWine.com and FinestWine.fr.
Otherwise, the signatory of the contract engages his responsibility.
The contract is concluded as soon as its signature accompanied by the payment by credit card.
Duration of the contract: from the date of activation of the Web site. A mail will be addressed to the signatory of the contract which he will have to send back dated and signed for acceptance before the setting on line.
No contract can be cancelled (deadline: 8 days), cancellation must be made by letter registered with acknowledgement of delivery.
The contract is valid for a 12 months period and will be automatically renewed unless the subscriber sends a register letter 1 month before the deadline date.
In case of dispute only the Commercial Court of Bordeaux will be qualified.
No payment in cash can be done in payment of this contract.
